The departmentalization of management functions as a parameter for criminal liability of directors of corporations and limited liability companies

General Management Theory defines departmental design as an essential structure for organizing a company's functional tasks through vertical differentiation (headquarters-branches and hierarchy) and horizontal differentiation (specialization between departments at the same level). Each department, under the direction of a director, is given specific authority and responsibilities, with the special duty of intervening in the event of conduct or omissions that threaten legal rights. This duty is legitimized by the means-end principle, in which the director, controlling the sources of danger, must avoid harmful results. The type of departmentalization (functional, by product, territorial, stakeholders, process, and project) shapes the extent of this duty and defines who is responsible for each departmental sphere.
